These Terms and Conditions (“Terms”) form a binding agreement between you and Softpebbles Technologies Limited (“Softpebbles Technologies Limited,” “we,” or “us”) and govern your use of Softpebbles Technologies Limited’s services. By using any of our services, you also agree to comply with the Softpebbles Technologies Limited Privacy Policy, and any other applicable legal agreements (collectively, the “Related Agreements”) between you and us. Your continue use of this website (……………..) (“www.softpebblestech.com”) or any other medium of our services, as authorized by us, signifies your acceptance of these Terms and all Related Agreements.

In the event of any inconsistency between these Terms and any Related Agreements, the specific terms of the Related Agreements will take precedence for the relevant service you are using, to the extent of the conflict. We reserve the right to modify these Terms at any time by posting an updated version on our website. The updated version will become effective as soon as it is posted, unless stated otherwise.

We are an independent contractor for all purposes, providing this website and our services on an independent service provider basis. We do not have control or assume the liability or legality for the products or services that are paid for with our Service. We do not guarantee any user’s identity and cannot ensure that a buyer or seller will complete a transaction.

Our Services are not available to:

(a) individuals below 18 years of age (minors);
(b) persons who are not lawfully permitted to use Services or Website; and
(c) persons who cannot enter legally binding contracts.

Use of our Services

You acknowledge that your use of the Services is governed by these Terms, the Related Agreements (as applicable), and any relevant rules, regulations, guidelines, and circulars issued by regulatory authorities from time to time. As a result, we may impose necessary limits, restrictions, and conditions on your use of the Services at any time, with or without prior notice to you. We will not be held liable for any limitations, restrictions, or conditions that may affect you or your business.

Refund

Upon receipt of a written request from you that a transaction failed or is not completed for any reason, we will refund the money (including any fees incurred) through the original payment method you used for the transaction (such as credit card, debit card, or direct debit). You agree to provide us with any necessary information we may need to process your refund.

Chargeback

Where you have accepted payment under circumstances determined by us, the relevant payment scheme and acceptable under the law, we may require you to reimburse us for chargebacks. You agree to respond to such requests in accordance with the rules specified by us.

Fees

The fees associated with transactions conducted on our platforms are outlined in the relevant Related Agreement you have entered with us. You acknowledge that if you use your credit card as a payment method for sending money, your card issuer may also charge you a cash-advance fee.

Dispute and Reversals

You agree to immediately notify us of any unauthorized or otherwise problematic transaction carried out using your account with us, to enable us take action to help prevent financial loss. All claims against us related to payments should be made within 45 (forty-five) days after the date of such payment. It will be taken that you waive all claims against us, to the fullest extent of the law after the said period of time. You will provide us with the relevant transaction ID and/or transaction details to enable us resolve all disputes. You agree and consent to the use by Softpebbles Technologies Limited and/or its employees, personnel and advisors of any information related to you, the particulars of the transaction(s) or any designated account relating to the transaction(s) for the purpose of investigating any claim or dispute arising out of or in connection with the disputed transaction(s) and that this consent shall survive the termination of this Agreement. You further agree that in the event of a dispute or claim of any nature arising in respect of any transaction, the records of the transaction(s) generated by us shall be used as a reference and shall be the sole basis of settling the aforesaid dispute or claim.

Regardless of anything stated herein, you understand and agree that we have no liability for goods and services paid for using our Services. Our only involvement with regard to such transactions is as a payment processor.

We may choose at our sole discretion to intervene in disputes between users and merchants regarding payments, but we are not obligated to do so.

Intellectual Property

The Softpebbles Technologies Limited software such as an API, developer’s toolkit or other software application, which may include software provided by or integrated with software, systems or services of our service providers, that you have downloaded or otherwise accessed through a web or mobile platform belongs and is owned by Softpebbles Technologies Limited. You acknowledge that all rights, title and interest to Softpebbles Technologies Limited’s software are owned by Softpebbles Technologies Limited and any third-party materials integrated therein are owned by Softpebbles Technologies Limited’s third-party service providers. Softpebbles Technologies Limited grants you a revocable, non-exclusive, non-sublicensable, non-transferable, royalty-free limited license to access and/or use Softpebbles Technologies Limited’s software in accordance with the documentation accompanying such software. This license grant applies to the software and all updates, upgrades, new versions and replacement software. Any other third-party software application you use on the Website is subject to the license you agreed to with the third party that provides you with this software. You acknowledge that Softpebbles Technologies Limited does not own, control nor have any responsibility or liability for any such third-party software application you elect to use on any of our websites, software and/or in connection with the Services.

You are not permitted to rent, lease, or transfer your rights in the software to any third party. You must adhere to the implementation, access, and usage requirements outlined in the documentation provided with the Services. Failure to comply with these requirements will make you liable for any resulting damages incurred by you, Softpebbles Technologies Limited, or third parties. Softpebbles Technologies Limited may update or discontinue any software with prior notice to you.

Softpebbles Technologies Limited may have incorporated certain third-party materials and technologies into its software, and/or used third-party materials and technologies (“Third Party Materials”) to provide you with the Services, you are not granted any rights to such Third Party Materials. You agree not to modify, alter, tamper with, repair, copy, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile, or attempt to create source code derived from the software or any Third Party Materials, nor create any derivative works from the Third Party Materials.

Prohibited Activities

The following are the prohibited activities in connection with your use of our Services. You must not:

1. Violate these Terms, the Softpebbles Technologies Limited Acceptable Use Policy, the Softpebbles Technologies Limited Privacy Policy, the Merchant Service Agreement (if applicable), or any other agreement between you and Softpebbles Technologies Limited;
2. Breach any laws, statutes, ordinances, or regulations (such as those related to financial services, consumer protection, unfair competition, anti-discrimination, or false advertising);
3. Infringe on Softpebbles Technologies Limited’s or any third party’s intellectual property rights, including copyrights, patents, trademarks, trade secrets, or rights of publicity or privacy;
4. Sell counterfeit goods;
5. Engage in defamatory, trade libelous, threatening, or harassing behavior;
6. Provide false, inaccurate, or misleading information;
7. Send or receive funds that we reasonably suspect to be fraudulent;
8. Refuse to cooperate in an investigation or fail to provide verification of your identity or any information you have submitted to us;
9. Control an account linked to another account involved in any of the restricted activities listed here;
10. Use the Services in a way that Softpebbles Technologies Limited, the Central Bank of Nigeria (CBN), or any other regulatory agency, or payment scheme reasonably believes abuses the card system or violates card association or network rules;
11. Access the Services from a country not included on Softpebbles Technologies Limited’s permitted countries list;
12. Take actions that place an unreasonable or disproportionately large load on the Websites, our software or systems (including networks and servers used to provide the Services) operated by us or on our behalf, or the Services themselves;
    XIII. Facilitate the distribution of viruses, trojan horses, malware, worms, or any other computer programming routines that attempt to damage, disrupt, corrupt, misuse, interfere with, secretly intercept, expropriate, or gain unauthorized access to any system, data, information, or Services;
13. Use an anonymizing proxy, or employ any robot, spider, automatic device, or manual process to monitor or copy our websites without prior written permission, or use any device, software, or routine to bypass our robot exclusion headers;
14. Interfere with or attempt to disrupt the Website, our software, systems (including networks and servers used to provide the Services), any of the Services, or other users’ use of the Services;
15. Take any action that could cause us to lose services from our internet service providers, payment processors, or other suppliers or service providers;
16. Use the Services to test credit card behaviors;
17. Harass or threaten our employees, agents, or other users.
18. Conduct your business or use the Services in a manner that usually results in or may result in;

1. Complaints;
2. fees, fines, penalties or other liability or losses to Softpebbles Technologies Limited, other Softpebbles Technologies Limited customers, third parties or you.
3. fines, penalties from regulators and law enforcement agencies.

 

Actions We May Take If You Engage in Prohibited Activities

Where we believe, discover, or receive information indicating that you have participated in any of the restricted activities listed, we reserve the exclusive and unconditional right to take any action, including but not limited to those not specifically mentioned herein, to: 

1. protect Softpebbles Technologies Limited, its customers, and others, at any time and at our sole discretion.
2. terminate these Terms and immediately limit, suspend, or close your access to the Services, software, systems (including networks and servers used to provide the Services) operated by us or on our behalf, without any penalty to us.
3. refuse to provide you with the Services in the future.
4. contact third parties you have transacted with or law enforcement regarding your actions.
5. correct any inaccurate information you have provided to us.
6. Take legal action against you.

If we terminate your use of the Services for any reason, we’ll provide you with reasons for the termination upon your request.

You are responsible for all reversals, chargebacks, claims, fees, fines, penalties, and any other liabilities incurred by Softpebbles Technologies Limited, its customers, or a third party due to your breach of this agreement and/or your use of Softpebbles Technologies Limited’s services.

Assignment

You must not transfer or assign any rights or obligations you have under these Terms or the Related Agreements without Softpebbles Technologies Limited’s prior written consent. Softpebbles Technologies Limited reserves the right to  transfer or assign these Terms or any right or obligation under these Terms at any time.

Disclaimers

We try to keep the Website available at all times, bug-free and safe, however, you use it at your own risk. The Website and Services are provided “AS IS” without any express, implied and/or statutory warranties (including, but not limited to, any implied or statutory warranties of merchantability, fitness for a particular use or purpose, title, and non-infringement of intellectual property rights). Without limiting the generality of the foregoing, Softpebbles Technologies Limited makes no warranty that the Website and/or the Services will meet your requirements or that the Website will be uninterrupted, timely, secure, or error free. No advice or information, whether oral or written, obtained by you through our website or from Softpebbles Technologies Limited, its parents, subsidiaries, or other affiliated companies, or its or their suppliers (or the respective officers, directors, employees, or agents of any such entities) (collectively the “Softpebbles Technologies Limited Parties”) shall create any warranty.

Limitations of Liability

In no event will any of the Softpebbles Technologies Limited be liable for (a) any indirect, special, consequential, punitive, or exemplary damages and (b) any damages whatsoever in excess of the amount of the transaction (including, without limitation, those resulting from loss of revenues, lost profits, loss of goodwill, loss of use, business interruption, or other intangible losses), arising out of or in connection with the Website or Services (including, without limitation, use, inability to use, or the results of use of the Websites or Services), whether such damages are based on warranty, contract, tort, statute, or any other legal theory.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. Accordingly, some of the above disclaimers and limitations of liability may not apply to you. To the extent that any of the Softpebbles Technologies Limited Parties may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such

warranty and the extent of the Softpebbles Technologies Limited’s Party’s liability shall be the minimum permitted under such applicable law.

Applicable Law

These Terms shall be interpreted and governed by the laws currently in force in the Federal Republic of Nigeria.

Disputes

We shall make an effort to settle all disputes amicably. Any dispute arising out of these Terms which is not settled by mutual agreement/negotiation within 2 (two) weeks shall be referred to arbitration by a single arbitrator at the Lagos Multi-Door Courthouse (“LMDC”) and governed by the Lagos State Arbitration Law 2009 (as may be amended from time to time). The arbitrator shall be appointed by both of us (we and you), where both of us are unable to agree on the choice of an arbitrator, the choice of arbitration shall be referred to the LMDC. The findings of the arbitrator and subsequent award shall be binding on both of us. Each of us shall bear our respective costs in connection with the Arbitration. Venue for the arbitration shall be Lagos, Nigeria.

Legal Orders and Regulatory Obligations

In the event that we receive a court order or any other legal process (such as garnishment or an equivalent procedure) affecting you, we may be required to take certain actions, including holding payments to/from you, placing a reserve or limitation on your Softpebbles Technologies Limited account, or releasing your funds. We will determine, at our sole discretion, the necessary actions to take. Unless required otherwise by the court order, law, regulatory requirement, or legal process, we will notify you of these actions. We are not obligated to contest or appeal any court order or legal process related to you or your Softpebbles Technologies Limited account. If a hold, reserve, or limitation is imposed due to a court order, applicable law, regulatory requirement, or legal process, it may remain in place for longer than 180 days.

Severability

If any portion of these Terms is held by any court or tribunal to be invalid or unenforceable, either in whole or in part, then that part shall be severed from these Terms and shall not affect the validity or enforceability of any other part in these Terms.
